12/7/09 – Message from NRC

Faced with bankruptcy in the wake of the merger proposal’s defeat, the Board nevertheless was moved by the offer of fundraising and operational support from the Past Presidents Group; coupled with the unexpected lease termination offer from the landlord which cut our original debt in half, the board voted on September 30 to pursue a reorganization plan rather than a Chapter 7 bankruptcy filing. Our debt currently stands at slightly more than $600,000.

Since that time, I have been working with current board members, representatives from the Past Presidents group and other former board members, along with leaders from the Save the NRC Coalition, to craft a restructuring plan and a creditor repayment plan.

The board is currently reviewing the draft restructuring plan for approval, which outlines a timeline and process for a reinvigorated NRC through 2010, including voluntary creditor repayment plans. Once approved by the board, it will be shared with the membership.

In short, we intend to stick around -- because we feel that we are the best organization to serve the interests of our membership, the municipal recycling industry.

In our renewed commitment to transparency, all board meetings under my leadership have been open to the membership. Hopefully some of you have taken the opportunity to join us. We are currently scheduling a December board call and once the date and time are determined, I will send out an announcement to this listserve, the SRO listserve, and the membership at large. I hope many of you can join us for an update.

Kind regards,
Melinda Uerling, NRC President

Message from MORA Board President –
August 10, 2009

Read the President's message here (PDF).

August 7, 2009

There has been a lot of discussion concerning the planned NRC/KAB merger. The MORA Board of Directors would like to encourage all MORA members to review public information available about the proposed consolidation of NRC and KAB and vote as each member feels appropriate.

NRC's two-step voting process: NRC will advise the membership by e-mail Friday that the Voting Packet will be available by email on Monday. Members will be able to open the e-mail and vote in 20-30 seconds. Members may also take their time, access all the background material for further evaluation before voting, or may return at a later time to vote. NRC will provide constant email reminders during the open period, August 10 - 26. "Friends" of MORA are not eligible to vote as their MORA membership does not include NRC membership. Passage of the merger will require a two-thirds majority, plus one. The MORA Board of Directors urges all voting members to participate in the election so that we can all rightfully say that the members have spoken.

Below are links related to the proposed merger. This is not intended to be a complete list of information or resources, but should provide information to better help you understand the complexities, pros, and cons of the merger.

National Recycling Coalition (NRC) Considers Merger with Keep America Beautiful (KAB)

June 30, 2009 Update by Angie Gehlert, MORA Executive Director

In keeping with NRC’s commitment to provide the membership extensive opportunity to ask questions and offer input, NRC has set up an online forum to actively engage each MORA member and seek feedback about the proposed combination of the NRC and KAB. Through this online forum, both organizations hope to answer all of your questions, share your comments in an open and public dialogue, and provide you with all of the information you need to cast an informed vote about the future of NRC.

Ultimately, your vote for or against this combination will have a significant impact on the future of recycling in America. Whatever your opinion, it is vitally important that you let your voice be heard.

Join the discussion at www.KABandNRC.org.

The following are documents relating to the merger:
